Terms of Service

These Terms of Service ("Terms") are a binding agreement between LexKurion Group ("ClockBear", "we", "us") and the company or person that creates an account or uses ClockBear ("you"). By creating an account or using the service, you agree to these Terms. If you use ClockBear on behalf of an organization, you represent that you are authorized to bind that organization.

1. The service

ClockBear is a time-and-attendance service: employees record working time from their device and employers manage, approve, and export that time. We may add, change, or remove features as the product evolves.

3. Plans, billing, and taxes

ClockBear is free for up to 5 employees. The Pro plan is billed per active employee per month at the price shown in the app at the time of purchase. Paid subscriptions renew automatically each billing cycle until cancelled. You authorize us and our payment provider to charge your payment method for each renewal and for any applicable taxes. Prices are exclusive of taxes unless stated; you are responsible for any sales, VAT, or similar taxes.

4. Third-party payment processing

Payments are processed by Stripe, Inc., an independent third-party payment provider, and are subject to Stripe's terms. ClockBear does not store your full card details. Where you obtain ClockBear through a mobile or desktop app store, purchases made inside the app do not use the app store's commerce system, and the app store is not a party to those transactions.

5. Cancellation and refunds

You may cancel your subscription at any time from Settings โ†’ Subscription. Your paid plan remains active until the end of the current billing period, after which it will not renew. Payments are non-refundable and we do not provide refunds or credits for partial billing periods, except where required by law.

6. Records and accuracy

ClockBear is designed to keep an accurate, tamper-evident record of punches. You remain responsible for reviewing records and for your own payroll and labor-law compliance. Overtime, break, and retention rules are configurable and provided as a tool, not as legal advice.

7. Availability

We aim for high availability but do not guarantee that the service will be uninterrupted or error-free, and we may perform maintenance or updates. Unless a separate written service-level agreement applies, the service is provided without a guaranteed uptime commitment.

8. Your data

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. You retain ownership of your company's data and can export it at any time while your account is active.

9. Intellectual property

ClockBear, including its software, design, and trademarks, remains our property. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, resell, reverse-engineer, or create derivative works from the service except as permitted by law.

10. Disclaimer of warranties

To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, ClockBear and LexKurion Group are not liable for indirect, incidental, special, or consequential damages, or for payroll or compliance decisions you make using the service. Our total liability for any claim relating to the service is limited to the amounts you paid to us for the service in the 12 months before the claim. Nothing here limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless ClockBear and LexKurion Group from claims arising out of your use of the service in violation of these Terms or of applicable law, including your obligations to notify workers and obtain required consents.

13. Termination

You may stop using ClockBear at any time. We may suspend or terminate accounts that violate these Terms or put the service or others at risk. On termination, your right to use the service ends; data handling follows our Privacy Policy.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction, except where mandatory local consumer law provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, communicated to account administrators. Continued use of the service after changes take effect constitutes acceptance.
